摘要: 本文通过对美国员工持股计划和经理人员持股计划的介绍与分析,指出在我国现阶段,员工持股计划只适合于个别小企业和高新技术企业,不具备普遍推行的条件;经理人员持股计划在国有企业中具有较广泛的适应性,但需要股票市场、法人治理结构等内外因素的有效配合。

Abstract: By introducing and analyzing the U. S. employees' stock plan vs.executives'stock plan,it points out that at current stage in China,the former is suitable only for several small firms and high-tech firms;the latter is suitable for most SOE,but it needs the effectively coordination with stock markets and principal governing structures,etc.
